These Terms and Conditions ("Terms") govern your access to and use of the Civio SaaS Platform ("Platform") provided by District CXP Pty Ltd (trading as Civio). By registering for, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.
1. Definitions
Platform: The hosted software-as-a-service system provided by District CXP Pty Ltd.
User/You: Any individual or entity that registers for and uses the Platform.
Account: The user account created upon registration with a valid email address and password.
Services: The functionalities and features provided through the Platform.
Content: Any data, information or materials uploaded or accessed via the Platform.
2. Acceptance of Terms
By accessing or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms and our Privacy Policy. District CXP Pty Ltd reserves the right to modify these Terms at any time. Continued use of the Platform after any such changes will constitute your acceptance of the updated Terms.
3. Registration and Account Security
Registration: To access the Platform, you must register using a valid email address. You will receive an email prompting you to set up a password.
Account Security: You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify District CXP Pty Ltd immediately of any unauthorised access or breach of security.
Accuracy: You agree to provide accurate, current and complete information during registration and to update such information as necessary.
4. Use of the Platform
Authorised Use: The Platform is provided for your internal business or personal purposes only. You agree to use the Platform in accordance with all applicable laws and these Terms.
Acceptable Use: You must not use the Platform to transmit any material that is unlawful, harmful, threatening, defamatory, obscene or otherwise objectionable.
5. Intellectual Property
Ownership: The Platform, including its software, design and all associated intellectual property rights, is owned by District CXP Pty Ltd or its licensors.
License: District CXP Pty Ltd grants you a limited, non-exclusive, non-transferable licence to use the Platform solely for your internal purposes, subject to these Terms.
Restrictions: You agree not to copy, modify, distribute, sell or lease any part of the Platform or its content without prior written consent from District CXP Pty Ltd.
6. Restrictions on Use
You agree not to:
Reverse engineer, decompile or disassemble the Platform.
Interfere with the proper functioning of the Platform or attempt to bypass any security measures.
Use the Platform to transmit any viruses, malware or other harmful software.
Use the Platform in any way that could damage, disable or impair the services or interfere with any other party’s use and enjoyment of the Platform.
7. Payment and Subscription (if applicable)
Fees: Some features or functionalities of the Platform may require payment. By providing payment information, you authorise District CXP Pty Ltd to charge the applicable fees.
Billing: Fees will be billed in accordance with the chosen subscription plan. All fees are non-refundable unless otherwise stated.
Changes: District CXP Pty Ltd reserves the right to modify pricing upon notice. Continued use of the Platform after changes will constitute your acceptance of the new fees.
8. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law:
District CXP Pty Ltd disclaims all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement.
District CXP Pty Ltd does not warrant that the Platform will be error-free, uninterrupted, or free from viruses or other harmful components.
9. Limitation of Liability
To the maximum extent permitted by applicable law, District CXP Pty Ltd shall not be liable for:
Any indirect, incidental, consequential or punitive damages arising from your use of the Platform.
Any loss of profits, revenue, data or business opportunity arising out of or in connection with these Terms or the use of the Platform.
These limitations apply even if District CXP Pty Ltd has been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify, defend and hold harmless District CXP Pty Ltd, its affiliates and their respective officers, directors, employees and agents from and against any claims, liabilities, damages, losses or expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, or your violation of these Terms.
11. Termination
Termination by District CXP Pty Ltd: District CXP Pty Ltd reserves the right to suspend or terminate your access to the Platform at any time, without notice, if you breach these Terms or engage in any conduct deemed harmful to the Platform or its users.
Effect of Termination: Upon termination, all rights granted to you under these Terms will immediately cease, and you must promptly discontinue all use of the Platform.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Victoria, Australia. Any disputes arising out of or related to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
13. Modifications to Terms
District CXP Pty Ltd reserves the right to change, modify or update these Terms at any time. Updated Terms will be posted on the Platform with a revised "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
14. Miscellaneous
Entire Agreement:These Terms, along with any policies referenced herein, constitute the entire agreement between you and District CXP Pty Ltd regarding your use of the Platform.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Failure by District CXP Pty Ltd to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
